Tom Marlay has had a distinguished career in the private practice of law and as corporate counsel in the public and private sectors.
Tom was called to the Ontario Bar in 1975, after obtaining degrees from Carleton University, Queen’s University and the University of Ottawa’s Faculty of Law. In 2007, he fulfilled a long-time goal by earning a Master of Laws (LL.M.) in securities from Osgoode Hall in Toronto.
Tom’s experience extends to most aspects of corporate and commercial law including computer law, licensing, share and asset acquisitions, commercial leasing, franchising, financings, licensing, private equity, domestic and international contracts, corporate governance, option plans, employment matters and management of major litigation files.
In his varied career, Tom has represented the interests of hundreds of individuals and companies in business disputes, negotiated for a Canadian crown corporation on five continents and served as legal counsel to a leading franchised retail chain.
In 2001, as Vice President and General Counsel for one of Ottawa’s most dynamic enterprise software companies, Tom executed the then-largest venture capital financing in Ottawa’s history, and went on to establish a boutique law firm serving Ottawa’s high-tech sector. This experience is especially useful for innovative start-up companies in a variety of business sectors.
Tom has taught aspects of business law at the university level and in the Ontario Bar Admission course. He recently contributed to the development of new testing questions for the business law section of the Ontario Bar exam.
